Res 14-24 Authorizing a Contract with DH MarketingWHEREAS, the Town of Westlake desires to provide an early warning system for the citizens and community that is designed to alert the citizens of approaching or existing hazardous conditions, which will require immediate protective actions in order to save lives; and WHEREAS, the Town Council find that an Outdoor Warning Siren System will alert the community when participating in the outdoor environment, which may have diminished access to other forms of early warning systems; and WHEREAS, the Town Council finds that the passage of this Resolution is in the best interest of the public. NOW, THEREFORE, BE Oi BY O COUNCILOF THE TOWN SECTION l: That, all matters stated in the Recitals hereinabove are found to be true and correct and are incorporated herein by reference as if copied in their entirety. SECTION 2: That the Town of Westlake Town Council does hereby approves the proposal attached as Exhibit "A" excluding the Five Year On -Site Warranty, in the amount of $102,942 for the purchase and installation of an Outdoor Warning Siren System. The Town Council further authorizes the Town Manager to execute the contract attached as Exhibit "B" on behalf of the Town of Westlake. SECTION 3e If any portion of this Resolution shall, for any reason, be declared invalid by any court of competent jurisdiction, such invalidity shall not affect the remaining provisions hereof and the Council hereby determines that it would have adopted this Resolution without the invalid provision. (3) Price/Shipping/Payment. Prices are F.O.B. FSC's Factory. Buyer shall be responsible for all shipping charges_ If this Agreement is for more than one unit of product, the products may be shipped in a single lot or in several lots at the discretion of FSC, and Buyer shall pay for each such shipment separately. FSC may require full or partial payment or payment guarantee in advance of shipment whenever, in its opinion, the financial condition of Buyer so warrants. FSC wlli invoice for product upon shipment to Buyer and for services monthly as completed. Amounts invoiced by FSC are due 30 days from date of invoice, except thal payment terms for turn -key sales of product and services are 10% of total contract mobilization fee due with Buyer's order. Invoice deductions w0l not be honored unless covered by a credit memorandum. Minimum billing per order is $75.00. (4) Risk of Loss. The risk of loss of the products or any part thereof shall pass to the Buyer upon delivery thereof by FSC to the carrier. Buyer shall have sole responsibility for processing and collection of any claim of loss against the carrier. (5) Taxes. Price quotes by FSC do not include taxes. Buyer shall pay FSC, in addition to the price of the products or services, any applicable tax (however designated) imposed upon the sale, production, delivery or use of the products or services to the extent required or not forbidden by law to be collected by FSC from Buyer, whether or not so collected at the time of the sale, unless valid exemption certificates acceptable to the taxing authorities are furnished to FSC before the date of invoice. (6) Delivery. Although FSC shall in good faith endeavor to meet estimated delivery dates, delivery dates are not guaranteed but are estimated on the basis of immediate receipt by FSC of all information required from Buyer and the absence of delays, direct or indirect, as set forth in paragraph 29 herein. (7) Returns. Buyer may return shipped product to FSC only upon FSC's prior written consent (such consent to be in the sole discretion of FSC) and upon term_ specified by FSC, including prevailing restocking and handling charges. Buyer assumes all risk of loss for such returned product until actual reoeipt thereof by FSC. Agents of FSC are not authorized to accept returned product or to grant allowances or adjustments with respect to Buyer's account_ (8) Inspection. Buyer shall inspect the product immediately upon receipt. All claims for any alleged defect in FSC's product or deficiency in the performance all its services under this Agreement, capable of discovery upon reasonable inspection, must be fully set forth in writing and received by FSC within 30 days of Buyer's receipt of the product or FSC's performance of the services. Failure to make any such claim within said 30 day period shall constitute a waiver of such claim and an irrevocable acceptance of the product and services by Buyer. (s) Limited Warranty. FSC warrants each new product to be free from defects in material and workmanship, under normal use and service, for a period of two years from delivery to Buyer (one-year for Informers and all software products, five years on 2001 & ECLIPSE Series siren head). During this warranty period, FSC will provide warranty service for any unit which is delivered, shipping prepaid by the Buyer, to a designated warranty service center for examination anc such examination reveals a defect in material and/or workmanship. FSC will then, at its option, repair or replace the product or any defective part(s), or remit the purchase price of the product to Buyer. This warranty does not cover travel expenses, the cost of specialized equipment for gaining access to the product, of labor charges for removal and re -installation of the product for warranty service at any location other than FSC's designated warranty service center- Thi[ warranty shall not apply to components or accessories that have a separate warranty by the original manufacturer, such as, but not limited to, radios and batteries, and does not extend to any unit which has been subjected to abuse, misuse, improper installation or which has been inadequately maintained, nor tc units with problems due to service or modification by other than an FSC warranty service center FSC will provide on-site warranty service during the first 6C days after the completion of the installation when FSC has provided a turn -key installation including optimization and/or commissioning services. THERE ARE NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. (10) Remedies and Limitations of Liability. Buyer's sole remedy for breach of warranty shall be asset forth above. IN NO EVENT SHALL FSC BE LIABLE FOR ANY LOSS OF USE OF ANY PRODUCT, LOST PROFITS OR ANY INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES, NOR SHALL FSC's LIABILITY FOR ANY OTHER DAMAGES WHATSOEVER ARISING OUT OF OR CONNECTED WITH THIS AGREEMENT OR THE MANUFACTURE, SALE, DELIVERY OR USE OF THE PRODUCTS OR SERVICES EXCEED THE PURCHASE PRICE OF THE PRODUCTS OR SERVICES. (11) PATENTS. FSC shall hold Buyer harmless, to the extent herein provided, against any valid claim by any third person of infringement of any United States Patent by product manufactured by FSC, but if Buyer furnished product or system design specifications to FSC, Buyer shall hold FSC harmless against any infringement claim consisting of the use of product manufactured by FSC in accordance with Buyer's product or system design or in combination with produci manufactured by Buyer or others. In the event that any product manufactured by FSC is held to infringe any patent and its use is enjoined by any competent court of law, FSC, if unable within a reasonable time to secure for Buyer the right to continue using such product, either by suspension of the injunction, by securing for Buyer a license, or otherwise, shall, at its own expense, either replace such product with non -infringing product or modify such product so that it becomes non -infringing, or accept the return of the enjoined product and refund the purchase price paid by Buyer less allowance for any period of actual use thereof. FSG makes no warranty that its product will be delivered free of a valid claim by a third person of infringement or the like and Buyer's remedies for such a claim will be limited to those provided in this paragraph. Res 14-24 (12) Assignment and Delegation. Buyer shall not assign any right or interest in this Agreement, nor delegate the performance of any obligation, without FSC's prior written consent. Any attempted assignment or delegation shall be void and ineffective for all purposes unless made in conformity with this paragraph. (13) Severability. If any term, clause or provision contained in this Agreement is declared or held invalid by a court of competent jurisdiction, such declaration or holding shall not affect the validity of any other term, clause or provision herein contained. (14) Installation. Installation shall be by Buyer unless otherwise specifically agreed to in writing by FSC. (15) Governing Law and Limitations. This Agreement shall be governed by the laws of the State of Illinois. Venue for any proceeding initiated as the result of any dispute between the parties that arises under this Agreement shall be either the state or federal courts in Cook or Du Page County, Illinois, Whenever a term defined by the Uniform Commercial Code as adopted in Illinois is used in this Agreement, the definition contained in said Uniform Commercial Code is to control. Any action for breach of this Agreement or any covenant or warranty contained herein must be commenced within one year after the cause of action has accrued. (16) Receiving Product and Staging Location. Buyer is responsible to receive, store and protect all products intended for installation purposes, including, bul not exclusively, siren equipment, poles, batteries, and installation materials. Materials received in cardboard containers must be protected from all forms of precipitation. Additionally, Buyer is to provide a staging area of an appropriate size for installation contractors to work from and to store equipment overnight. (17) Installation Methods R Materials. Installation is based on methods and specifications designed and intended by FSC to meet or exceed all national, state & local safety and installation codes and regulations_ Design changes required by Buyer may result it additional charges. (18) Radio Frequency Interference. FSC is not responsible for RF transmission and reception affected by system interference beyond its control. (19) Installation Site Approval. Buyer must provide signed docuMentation to FSC, such as the "WARNING SITE SURVEY FORM" or a document with the equivalent information, that FSC is authorized to commence installation at the site designated by Buyer before FSC will commence installation. Once installatior has started at an approved site, Buyer is responsible for all additional costs incurred by FSC for redeployment of resources if the work is stopped by Buyer or its agents, property owners, or as the result of any governmental authority or court order, or if it is determined that installation is not possible at the intended location, or the site is changed for any reason by the Buyer. (20) AC Power Hookup. Buyer is responsible to coordinate and pay for ail costs to bring proper AC power to the electrical service disconnect installed adjacent to the controller cabinet, unless these services are quoted by FSC. All indoor installations assume AC power is available within 10 fleet of the installation location. (21) Permits & Easements. FSC will obtain and pay for electrical and right-of-way work permits as necessary for installations- Buyer is responsible fol obtaining and payment of all other required easements, permits, or other fees required for installation, unless specifically quoted. (22) Soil Conditions Clause. In the event of poor site conditions including, but not limited to rock, cave-ins, high water levels, or inability of soil to provide stable installation to meet specifications, FSC will direct installation contractors to attempt pole installation for a maximum of 2 hours. Buyer approval will be sought when pole installation exceeds 2 hours and abandoned if FSC cannot obtain approval in a timely manner. (23) Contaminated Sites. FSC is not responsible for cleanup and restoration of any installation sites or installer equipment where contaminated soil is encountered. FSC will not knowingly approve installation at any site containing contaminates. Buyer must inform FSC when known or suspected soil contaminates exist at any intended installation site. (24) Site Cleanup. Basic installation site cleanup includes installation debris removal, general site cleanup, and general leveling of affected soil within 30' of the pole. Additional Site Restoration quotes are available. (25) Waste Disposal. Buyer is responsible for providing disposal of all packing materials including shipping skids and containers. (26) Work Hours. All installation quotes are based on the ability to work outdoors during daylight hours and indoors from 7 AM to 7 PM Monday through Saturday. Work restrictions or limitations imposed by Buyer or its agents may result in additional charges being assessed to Buyer for services. (27) Project Reporting. Installation & Service Progress Reports will be provided on a regular basis, normally every week during active installation, unless pre- arranged otherwise by mutual agreement - (28) Safety Requirements & Compliance. FSC requires that all subcontractors and their employees follow applicable laws and regulations pertaining to all work performed, equipment utilized and personal protective gear common to electrical and construction site work performed in the installation of FSC equipment. Additional safety compliance requirements by Buyer may result in additional charges assessed to Buyer for the time and expenses required tc comply with the additionai requirements. (29) Project Delays. FSC shall not be liable in any regard for delivery or installation delays or any failure to perform its obligations under this Agreement resulting directly or indirectly from change order processing, acts or failure to act by Buyer, unresponsive inspectors, utility companies and any other causes beyond the direct control of FSC, including acts of God, weather, local disasters of any type, civil or military authority, fires, war, Not, delays in transportation, lack of or inability to obtain raw materials, components, labor, fuel or supplies, or other circumstances beyond FSC's reasonable control, whether similar of dissimilar to the foregoing. 2645 Federal Signal Drive University Park, Illinois 60484-0975 800.548.7229 ajertnotification_com Res 14-24 Limited Warranty The Alerting and Notification Systems Division of Federal Signal Corporation (Federal) warrants each new product to be free from defects in material and workmanship, under normal use and service, for a period of two years on parts replacement and factory -performed labor (one year for Informer, EAS, and Federal software products) from the date of delivery to the first user - purchaser. Federal warrants every 2001, Eclipse and 508 Siren (Top of pole only) to be free from defects in material, per our standard warranty, under normal use and service for a period of five years on parts replacement. During this warranty period, the obligation of Federal is limited to repairing or replacing, as Federal may elect, any part or parts of such product which after examination by Federal, are determined to be defective in material and/or workmanship. Federal will provide warranty for any unit which is delivered, transported prepaid, to the Federal factory or designated authorized warranty service center for examination and such examination reveals a defect in material and/or workmanship. This warranty does not cover travel expenses, the cost of specialized equipment for gaining access to the product, or labor changes for removal and re -installation of the product. The Federal Signal Corporation warranty shall not apply to components or accessories that have a separate warranty by the original manufacturer, such as, but not limited to batteries. Federal will provide on-site warranty service during the first 60 -days after the completion of the installation, when Federal has provided a turn -key installation including optimization and/or commissioning services. This warranty does not extend to any unit which has been subjected to abuse, misuse, improper installation or which has been inadequately maintained, nor to units which have problems related to service or modification at any facility other than Federal factory or authorized warranty service centers. Moreover, Federal shall have no liability with respect to defects arising in Products through any cause other than ordinary use (such as, for example, accident, fire, lightning, water damage, or other remaining acts of God). THERE ARE NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL FEDERAL BE LIABLE FOR ANY LOSS OF PROFITS OR ANY INDIRECT OR CONSEQUENTIAL DAMAGES ARISING OUT OF ANY SUCH DEFECT IN MATERIAL WORKMANSHIP. We believe Federal Signal Corporation is the most qualified US equipment manufacturer/software design organization in the country of Outdoor Warning equipment and able to provide a cost-effective Outdoor Warning Siren 1 Citizen Notification solution for many years to come. We have reviewed the specifications carefully, compared it to our installation practices to make sure every requirement lined out in the bid specifications is met, as well as took into account our historical experience in deploying outdoor Warning Sirens and Notification systems. Federal Signal is proposing an Outdoor Warning system comprised of Electromechanical Rotating Sirens with solar packages for powering these DC operated siren units. The Federal Signal Command and control Software communicates to the Two -Way Digital DC Controller equipment located at the siren sites operating over a VHF Radio System utilizing an existing VHF channel provided by the City of Westlake, The Federal Signal Outdoor Warning equipment provides maximum coverage and complies with FEMA Outdoor Warning Systems Guide, CPG -1-17. System Design: (3) 508-128 DC Low Frequency Rotating Electromechanical Sirens complete with digital controls, antenna's, 50' concrete poles, installation & site optimization. Non -Standard System Add -Ons: • Option 1. Extension of Federal Signal's Standard Warranty to Five (5) Years on All factory made components. This is recommended, as Westlake can provide the mobile radios at a much lower cost than Federal Signal. The Radio backbone of the system will be through the use of the existing VHF radio frequency, which has proven to be reliable activation method. We have included a desktop PC wl 22" monitor, desktop encoder, software and backup power supply for one primary activation point. System Optimization, Site Optimization and Training will be conducted by Federal Signal Factory Trained Technicians. We have included a Sr. Project Manager from our Certified Project Manager staff to conduct site verification, obtain permits and management of site work as part of our offering. Command & Control: Our Federal Commander Activation Software Application has the capability to activate sirens over RF, Landline, Satellite, Cellular and IP networks. Federal Commander Software operates on FSK digital encryption and is password protected to assure a level of activation security that puts to rest any fear of malicious activation. The Digital Commander also provides capability of status monitoring of up to 012 siren sites — Battery, Power, Amplifier Output, and intrusion and communications link logs and reports these events within the system. The system will allow operators to activate each Digital Siren Controller independently, in groups/zones or as an entire system All of the siren equipment is equipped with battery back-up and an internal VHF Radio mounted/integrated in the Digital Controller NEMA 4X IP66 cabinet. The batteries are housed in a separate vented enclosure with a NEMA3R or IP45 rating. The space in the Digital Controller Cabinet can accommodate future expansions for other communication interoperability, such as Broadband/lP capability allowing the City of Westlake to expand and interface to indoor notification devices. Federal Signal has successfully deployed integrated solutions which consisted of custom communications field sites featuring electronic and electromechanical sirens, Mass Notification systems, digital speaker arrays, command and control software, voice controllers, secured IP -based cameras, weather stations and communications capabilities backed up with robust wireless mesh technology. Federal Signal has partnered with various Broadband solution providers as well as integrated with customer's existing Motorola radio systems. Federal Signal's Digital Controller unit has several features to provide maximum flexibility. The Two -Way Digital controller (DCFCTBD) is equipped with a timer with four pre-set programs and standard sensor package: current, rotator, and intrusion and can also decode two-tone sequential, DTMF and FSK for activation and Two Way Status monitoring and has been configured to operate on an VHF Radio System. The Digital siren Controllers can operate completely independent from the communications network, enabling local operation in the case of an emergency or complete wire -line interruption. Warranty 1 Maintenance: The proposed Siren Warning System equipment is covered by the Standard Manufacturers Limited Warranty for 5 Years on the 2001-130 siren head and 2 years parts and factory labor on all other Federal Signal equipment. Installation shall be by Customer unless otherwise specifically agreed to in writing by Federal Signal Corporation. • Governing Law and Limitations. This Agreement shall be governed by the laws of the State of Illinois, Venue for any proceeding initiated as the result of any dispute between the parties that arises under this Agreement shall be either the state or federal courts in Cook or DuPage County, Illinois. Whenever a term defined by the Uniform Commercial Code as adopted in Illinois is used in this Agreement, the definition contained in said Uniform Commercial Code is to control. Any action for breach of this Agreement or any covenant or warranty contained herein must be commenced within one year after the cause of action has accrued. • Receiving Product and Sta2in2 Location. Customer is responsible to receive, store and protect all products intended for installation purposes, including, but not exclusively, siren equipment, poles, batteries, and installation materials. Materials received in cardboard containers must be protected from all forms of precipitation. Additionally, Customer shall provide a staging area of an appropriate size for installation contractors to work from and to store equipment overnight. Installation is based on methods and specifications designed and intended by Federal Signal to meet or exceed all national, state & local safety and installation codes and regulations. Design changes required by Customer may result in additional charges. • Radio Frequency Interference. If the SOW included installing a new base station co -located with other radio equipment, Federal Signal shall not responsible for RF transmission and reception affected by system interference. • Installation Site Approval. Customer must provide signed WARNING SITE SURVEY FORM (Attachment A) to Federal Signal, or a signed document with the equivalent information, that Federal Signal is authorized to commence installation at the site designated by Customer before Federal Signal will commence installation. Once installation has started at an approved site, Customer is responsible for all additional costs incurred by Federal Signal for redeployment of resources if the work is stopped by Customer or its agents, property owners, or as the result of any governmental authority or court order, or if it is determined that installation is not possible at the intended location, or the site is changed for any reason by the Customer. • AC Power Hookup. Customer is responsible to coordinate and pay for all costs to bring proper AC power to the electrical service disconnect installed adjacent to the controller cabinet, unless these services are specifically quoted by Federal Signal. This proposal includes an electrical meter socket installed as part of equipment but does not include the connection of such to the power system. • Permits & Easements. Customer is responsible for obtaining and payment of all other required easements, permits, or other fees required for installation, unless specifically quoted. • Soil Conditions Clause. In the event of poor site conditions including, but not limited to rock, cave- ins, high water levels, or inability of soil to provide stable installation to meet specifications, Federal Signal will direct installation contractors to attempt pole installation for a maximum of 2 hours. Customer approval will be sought when pole installation exceeds 2 hours and abandoned if Federal Signal cannot obtain approval in a timely manner. • Contaminated Sites. Federal Signal is not responsible for cleanup and restoration of any installation sites or installer equipment where contaminated soil is encountered. Federal Signal will not knowingly approve installation at any site containing contaminates. Customer must inform Federal Signal when known or suspected soil contaminates exist at any intended installation site. • Site Cleanup. Basic installation site cleanup includes installation debris removal, general site cleanup, and general leveling of affected soil within 30' of the pole. Additional Site Restoration quotes are available. • Waste Disposal. Customer is responsible for providing disposal of all packing materials including shipping skids and containers. • Work Hours. All installation quotes are based on the ability to work outdoors during daylight hours and indoors from 7 AM to 7 PM Monday through Saturday. Work restrictions or limitations imposed by Customer or its agents may result in additional charges being assessed to Customer for services. • Project Reporting. Installation & Service Progress Reports will be provided on a regular basis, normally every two weeks during active installation, unless pre -arranged otherwise by mutual agreement. • SO M Requirements & Compliance. Federal Signal requires that all subcontractors and their employees follow applicable laws and regulations pertaining to all work performed, equipment utilized and personal protective gear common to electrical and construction site work performed in the installation of Federal Signal equipment. Additional safety compliance requirements by Customer may result in additional charges assessed to Customer for the time and expenses required to comply with the additional requirements. • Project Delays. Federal Signal shall not be liable in any regard for delivery or installation delays or any failure to perform its obligations under this Agreement resulting directly or indirectly from change order processing, acts or failure to act by Customer, unresponsive inspectors, utility companies and any other causes beyond the direct control of Federal Signal, including acts of God, Use or disclosure of this proposal is subject to the restrictions on the title page. Changes to the POC by either party may require adjustment to the contractual deadlines to adjust for the transition period. • SUREWARN Acoustical Coverage Modeling Federal Signal's acoustical modeling, if provided with this proposal, utilizes available geographic, topological, and meteorological data for this coverage area. Actual acoustical coverage may vary from the projected coverage due to factors such as weather conditions, large buildings, high ambient noise areas and other factors not included in the model. Thus Federal Signal provides no sound coverage guarantee. 1.1,2 Project Management (only for 10 plus sirens) This portion of the project includes all periods that this contract is in effect. Project Management is designed to provide knowledge, skills, tools and techniques to the various project activities under the contract in order to meet the project requirements. Federal Signal Confidential & Proprietary Res 14-24 Page 4 of 11 PE' Advancing security and well -being - 1.2.2 Warning Sirens: Site Selection • Warning Site Selection Criteria: The following assumptions are made for warning site selection: o All sites are within 20' of an accessible roadway suitable for heavy construction equipment. o No overhead obstructions exist that would prevent the use of cranes and/or digger derricks that reach up to 100'. • Warning Site Ap r1� oval: Federal Signal's representative will work with the customer to identify recommended siren installation sites within 30 days from the time that Federal Signal receives, accepts and acknowledges in writing the customer's contract and/or purchase order. Federal Signal will provide the customer a written Warning Site Survey Form documenting the approximate location of the selected site (Note: These surveys do not constitute or include an official Land Survey). The customer shall: Verify that the site is located on Public Right -of -Way or customer owned and controlled properties. ■ The customer is responsible for the coordination of and all costs associated with obtaining any necessary legal property easements. Automatic time -line and contract extensions will occur for any delays resulting from the need to obtain easements. • Approve the sites for installation by signing the provided survey form and returning it to the Federal Signal Project Manager. Maintain the white marker stake placed during the survey until the pole is installed. ■ Be responsible for additional costs if new site locations must be chosen after the initial survey form is submitted. Base Station Antenna Installation: (N/A) o During antenna installation, the customer is responsible to identify and to reduce or disable any high powered transmitters that may pose a safety hazard to installers. o Tower Assum tin ons: Federal Signal assumes that existing customer owned antenna towers will be utilized for base station antenna to be installed. ■ These towers are assumed to have the capacity for the additional antenna equipment without interfering with existing transmitters. • Tower engineering or inter -modulation studies that may prove necessary for this installation are not included. ■ City shall direct Federal Signal as to where the antenna should be mounted on the tower by providing the mounting bracket requirements, the installation height, the tower leg to be utilized and the required stand-off distance from the tower. ■ Federal Signal is not responsible for any RF interference that is determined to exist after the equipment is installed on the tower. • Existing ground points will be utilized for grounding the new antenna and coax per common industry standards_ o Coax Runs: Existing conduits in buildings will be utilized for coax installation at communications centers and shall be assumed to have sufficient capacity for the additional coax cable. ■ Existing building penetrations will be utilized for coax entrance into building. • Com uter & Equipment Installation: o The customer shall identify the locations to install the equipment and provide the necessary desk, rack and other space required to install the prescribed equipment. o Custom mounting requirements or other hardware are not included, unless it is specifically quoted. o The customer shall identify and provide an electrical outlet for the provided equipment to operate. Typically, the requirement is 110 Volt{20 AMP circuit. o Federal Signal will install the provided computers, encoders and cabling per the specific quotation BOM. Federal Signal Confidential & Proprietary Res 14-24 Page 7 of 11 Advancing security and Weil-being. 1.3 WARNING SYSTEM OPTIMIZATION & TRAINING The purpose of the System Optimization is to review the system installation and interface to ensure proper system activation and accurate system status as outlined in Federal Signal's product manuals. 1.3.1 System Optimization (Central Control Unit) ■ Review installation, wiring, & terminations. ■ Verify RF link from dispatch center to each RTU site via Encoder ■ Verify Base Station Radio RF transmit and receive modulation levels ■ Configure SFCDWARE to customer's specifications. 1.3.2 Site Optimization (Siren Sites) Federal Signal's authorized personnel will perform the following at each RTU site to ensure proper installation and functionality: ■ Review site installations, wiring, & terminations. ■ Review and record operating voltages at the siren site. ■ Verify motor sensor input voltage and operating window at each RTU site. ■ Verify intrusion and A/C sensor operation. ■ Review Antenna installation. ■ Perform system test and generate a report for review of sensor status information. 1.3.3 Knowledge Transfer - Training Successful system implementation as well as ongoing system management and maintenance can be greatly enhanced by the careful transfer of knowledge from Federal Signal in-house experts to system managers, technicians, and end users. Critical elements of knowledge transfer include knowledgeable instructors, well- designed courseware, lab activities, and system hardware and software that closely parallels your operating environment integrated with proper system documentation. Federal Signal will conduct training courses that are designed to provide technical and functional knowledge on all systems that the first responder organizations will be required to operate. Training will be provided to Administrators, Operators and Technicians personnel assigned to the City Dispatch Centers or requiring interfacing with system. Training shall be delivered based on an established training schedule and shall be scheduled to have minimal impact on day-to-day operations. Training facilities shall be provided by the customer. Documentation shall be provided in soft copy unless customer has specifically requested for a hard copy. Persons making certain payments to you must under certain conditions withhold and pay to the IRS a percentage of such payments. This is called "backup withholding." Page 2 Updating Your Information You must provide updated information to any person to whom you claimed to be an exempt payee it you are no longer an exempt payee and anticipate receiving reportable payments in the future from this person. For example, you may need to provide updated information if you are a C corporation that elects to be an S corporation, or if you no longer are tax exempt. In addition, you must furnish a new Form W-9 if the name or TI N changes for the account, for example, if the grantor of a grantor trust dies. Penalties Failure to furnish TIN. If you fail to furnish your correct TIN to a requester, you are subject to a penalty of $50 for each such failure unless your failure is due to reasonable cause and not to willful neglect. Civil penalty for false information with respect to withholding. If you make a false statement with no reasonable basis that results in no backup withholding, you are subject to a $500 penalty. Criminal penalty for falsifying information. Willfully falsifying certifications or affirmations may subject you to criminal penalties including fines and/or imprisonment. Misuse of TINS. Specific Instructions Name If you are an individual, you must generally enter the name shown on your income tax return.
